In my work across government, corporate, and Indigenous governance settings, I’m seeing the same pattern surface again and again. Demand is increasingly treated as a proxy for legitimacy.

Free markets are often used as a benchmark for legitimacy. Independence, competition, price signals, and the ability to enter and exit are treated as indicators of value and capability.

In the Indigenous sector, demand is shaped by multiple forces. Government procurement policies, corporate supplier targets linked to RAPs, and philanthropic funding models are all significant influences. Each plays a legitimate role. However, collectively, they influence the perception of value, capability, and legitimacy, frequently in ways that deviate from open market conditions.

I raise this topic because leaders frequently point to demands as evidence of impact or success without interrogating the conditions under which they exist or the behaviours they reinforce.

More difficult questions sit underneath this. What does economic legitimacy look like when genuine market participation is structurally constrained? How do different forms of demand shape accountability, market signals, and long-term economic agency? And what responsibility sits with decision-makers as a result?

Leaders applying a governance lens should be able to answer three questions clearly.

1. What signals are shaping demand?

   Are revenue streams driven primarily by policy settings, targets, or grants, and how does that affect pricing, competition, and decision-making?

2. Where does accountability sit?

   Is responsibility for outcomes embedded within internal governance or diffused across programs, partners, or funding structures?

3. What capability is being built over time?

   Do current arrangements strengthen independence, bargaining power, and strategic choice, or do they lock organisations into narrow operating models? These are governance questions. Avoiding them obscures risk.

Governance Reflections

From a governance perspective, not all demand sends the same signal.

• Policy-driven demand is shaped by eligibility, compliance, and intent.

• Target-driven demand is shaped by commitments, reputational incentives, and reporting cycles.

• Grant-driven capital is shaped by social outcomes, risk tolerance, and donor priorities.

Each can enable participation. None are inherently illegitimate.

The governance failure occurs when demand is mistaken for value, or participation is treated as evidence of capability without scrutiny of the conditions that produced it. In these circumstances, accountability erodes. Boards and executives stop interrogating whether their systems are building independence, competitiveness, and resilience or merely sustaining activity that is structurally protected from challenge.

For boards and executives, reliance on these mechanisms must be visible, interrogated, and governed, rather than absorbed into business-as-usual without scrutiny.

Economic legitimacy is not conferred through access alone. It is established through value being tested, risk being shared, and responsibility being clearly held.

First Nations Governance Course

The First Nations Governance course examines First Nations governance as a structural and institutional system, distinct from engagement activity or stakeholder management.

It explores how governance has been disrupted, how accountability failures occur in practice, and what culturally legitimate and durable governance structures require. This is particularly relevant in environments where policy settings, procurement mechanisms, and market incentives shape decision-making but leave responsibility unclear.

The course is designed to support organisations seeking to strengthen governance capability where First Nations rights and interests intersect with ESG, policy, infrastructure, and long-term decision-making. It provides the foundational governance literacy leaders need to interrogate assumptions, recognise structural risk, and hold responsibility appropriately.

Climate, Finance, & Policy

Australia’s transition increasingly relies on market-based instruments, including carbon markets, clean energy investment, and sustainability-linked finance. At the same time, climate disclosure and human rights due diligence frameworks are raising expectations around governance, oversight, and accountability.

These frameworks are explicit about one thing: intent is not enough. Position statements, strategies, and toolkits do not constitute impact. Organisations are expected to demonstrate who holds decision-making authority, how risk and impact are governed internally, and how outcomes are monitored and verified.

For organisations engaging First Nations through market mechanisms, the result exposes a growing say–do gap. Participation is often highly visible, while internal capability, mandates, and accountability remain underdeveloped. Activity is reported, but responsibility is unclear.

Without strong internal governance, market-based approaches produce movement without traction. They create the appearance of alignment while leaving material risks unmanaged and impacts unverified.

As expectations across climate and finance continue to rise, leaders will need to move beyond adoption and articulation. Economic participation must be supported by governance arrangements capable of carrying responsibility, scrutiny, and consequence. Otherwise legitimacy remains performative, not earned.
